Terms and Conditions of Sale

These Terms and Conditions govern the Sale of Products (“Product or Products”) and Provisions of Services (“Services”) by Scientific Equipment Company (SECO) (“Seller”). These Terms and Conditions (“Agreement”) take precedence over and control Buyer’s supplemental and/or conflicting Terms and Conditions. Neither Seller’s commencement of performance nor delivery shall be deemed or construed as acceptance of Buyer’s supplemental or conflicting Terms and Conditions unless in writing executed by SECO. SECO’s failure to object to conflicting or additional terms will not change or add to the terms of this agreement. Buyer’s acceptance of the Products and/or Services from Seller shall be deemed to constitute acceptance of the Terms and Conditions contained herein.

By placing an order, you are offering to purchase a product on and subject to the Terms and Conditions set forth herein, unless specifically modified by SECO. All orders are subject to availability and confirmation of the order price.

To contract with SECO, you must be over 18 years of age and possess a valid account with terms, or a credit/debit card issued by a bank acceptable to us. SECO retains the right to refuse any request or contract prior to acceptance by SECO. If your order is accepted by SECO, we will inform you by email and we will confirm the identity of the party which you have contracted with. In some instances, the contracting party may be a third party. Where a contract is made with such third party, SECO is not acting as either agent or principal and the contract is made between yourself and that third party and will be subject to the terms of sale which they supply you. When placing an order, you undertake and affirm that all the details you provide us are true and accurate, that you are an authorized user of the credit or debit card used to place your order and that there are sufficient funds to cover the cost of goods, as SECO shall reasonably rely upon such details in reviewing, processing and fulfilling your order. The cost of foreign products and services may fluctuate. All prices advertised are subject to such change.

Minimum Order Value

SECO has a minimum order value of $150. Orders less than this amount are subject to a $15 special handling fee.

Pricing

All prices are listed in US dollars unless otherwise noted. While we try to ensure all details, descriptions and prices that appear on the Site are accurate, errors may occur. If we discover an error in the price of any goods which you have ordered, we shall inform you of this in a commercially reasonable manner and provide you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you or you do not reconfirm your order within forty-eight (48) hours after notice, we will treat the order as cancelled.

Products purchased from SECO shall be sold at manufacturer’s suggested retail price (MSRP), plus the cost of shipping and handling. Customers with registered accounts may receive discounted pricing based upon order frequency, size and volume, as may be offered by SECO in its sole discretion. Pricing other than MSRP or registered user price discounts must be obtained by special quotes from your Sales or Customer Service Representative. Prices are subject to change without notice.

Returns

Only products originally shipped from SECO or from an authorized supplier (drop-ship) will be considered for return by SECO. By a Customer requesting return of products to SECO, the Customer certifies that the products were purchased from SECO and there has been no substitution of the product from another supplier, distributor or other source of the product.

Any return must be in the original packaging and in unused condition except if approved for failure analysis/warranty evaluation by a SECO Customer Service Representative via Return Goods Authorization (RGA).

SECO reserves the right to charge cancellation and restocking fees, at a minimum rate of Thirty Percent (30%) to be deducted from the Customer refund. SECO does not refund the original shipping and handling costs. Customer is responsible for all return freight charges. SECO does not accept COD shipments.

Merchandise that must be returned by SECO to the manufacturer for inspection, reworking or refurbishing will at all times, be subject to a charge proportionate to that received by SECO from the manufacturer.

Merchandise returned in such condition that repacking is required for return to stock will, at all times, be subject to a minimum Thirty Percent (30%) handling charge.

Items Not Acceptable for Return or Credit:

  • Merchandise that has been discontinued
  • Opened chemicals and items that have been defaced by labeling and marking
  • Merchandise not purchased from SECO
  • Items purchased on "special order" basis (unless manufacturer will accept return)
  • Dated items whose shelf life has expired
  • Chemicals and reagents in broken or damaged containers
  • Other such items that SECO, in its sole discretion, determines to be nonreturnable

Return of Hazardous Materials

Return shipments of hazardous materials must be marked, labeled and shipped in accordance with DOT regulations applicable to transportation of hazardous substances.

Refunds

Upon receipt and inspection of returned item(s), SECO will advise of refund status. In the case of factory warranty or failure analysis, SECO will issue any applicable credit pending manufacturer confirmation of failure. SECO initiates credits via the original method of payment within 48 hours of approval. Refunds via credit card can take up to 10 business days to post to the account.

How to Return an Item

  • Contact SECO Customer Service within 7 days of ship date of item(s) by calling our toll-free number at 1-800-770-SECO (7326) or by emailing cs@seco.us
  • SECO will issue a Return Goods Authorization (RGA) number. Once the RGA number is received, item must be returned within 14 days. SECO will provide Customer with specific instructions on where to mail/return item(s) with RGA number. In most cases returned items will be shipped to the SECO warehouse located at:

    • Aston, PA 19014
  • Download and complete the RGA form from our website.
  • Include the signed RGA form in the return package stating the reason for the return and the original receipt.

Payments

SECO accepts all major credit cards (Visa, MasterCard, American Express).

Net 30 Terms

You may also apply for credit terms with us by filling out an application form with at least three (3) credit references. You can get a credit application on our Forms page. All orders placed prior to credit term approval will be held until approved. Approval could take up to 5 business days. If you need your order sooner, it is advised that you pay via credit card until the application is approved.

Checks returned due to insufficient funds could be considered fraud and subject the check writer to prosecution and fines. However, we understand that usually there is no criminal intent, and, in these circumstances, we will only charge the customer for reimbursement of bank fees and other incurred costs related to the transaction.

Shipping

Shipping is not included in the cost of goods. On all orders freight will be charged on each invoice. All orders will ship Ground unless otherwise notated, FOB Aston, PA 19014. Larger orders may ship LTL truck, we do our best to ship all items the most cost-effective way possible.

In addition to freight charges, your order may have additional handling or hazardous fees applied. If an order is expedited there will be an additional fee above the previously mentioned.

Hazardous Materials

SECO complies with applicable governmental regulations regarding the shipment of hazardous materials to our customers. All shipments containing hazardous materials are packaged, labeled and marked in accordance with the Department of Transportation 49 CFR. In the case of hazardous materials, SECO will select the most appropriate and cost-effective method of shipping. Additional hazardous charges will apply.

SECO will not knowingly ship hazardous materials to individuals, only to businesses. The business must first be pre-approved by Customer Service before an order will be accepted for hazardous materials.

SECO fully cooperates with all regulatory agencies overseeing commerce in regulated materials, including the DEA. Any suspicious purchasing activity will be reported to the appropriate agence.

SECO will not ship any hazardous materials via air freight.

Delivery Window

SECO strives to ship all in-stock items within 48 hours of order. Out of stock items, please allow a minimum 7-10 days from the time of order. SECO will advise of any further delivery delays as soon as we are made aware.

International Shipping

SECO does not ship hazardous materials internationally at this time.

Shipping Insurance

SECO reserves the right to insure all packages with a declared value in excess of $100. Any applicable charges for insured packages will applied to the customers invoice.

Limited Warranty

SECO guarantees its products meet specifications as stated in this catalog and on the product label. SECO is not responsible for misuse. All chemicals should be handled only by trained, qualified personnel. The buyer takes the responsibility to determine the adequacy of the chemical for their intended use. We believe the information in the catalog to be true and reliable. All products are sold as is. SECO will transfer to Buyer any Product warranties and indemnities authorized by the manufacturer, including any transferable warranties and indemnities for intellectual property infringement. SECO warrants to Buyer that Products purchased hereunder will conform to the applicable manufacturer’s specifications for such products and that any value-added work performed by SECO on such Products will conform to applicable Buyer’s specifications. If SECO breaches this warranty, Buyer’s remedy is limited to (at SECO’s election) (1) refund of Buyer’s purchase price for such Production (without interest), (2) repair of such Products, or (3) replacement of such Products; provided that such Products must be returned to SECO, along with acceptable evidence of purchase, within twenty (20) days from date of delivery, transportation charges prepaid. No warranty will apply if the Product has been subject to misuse, static discharge, neglect, accident or modification, or has been soldered. SAVE AS EXPRESSLY PROVIDED IN THESE TERMS AND CONDITIONS, ALL IMPLIED WARRANTIES, TERMS AND CONDITIONS (WHETHER STATUTORY OR OTHERWISE) ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW. IN PARTICULAR, SECO MAKES NO WARRANTY RESPECTING THE MERCHANTABILITY OF THE PRODUCTS OR THEIR SUITABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS AND WARRANTIES AGAINST LATENT DEFECTS.

Limitation Of Liability

BUYER SHALL NOT BE ENTITLED TO, AND SECO SHALL NOT BE LIABLE FOR LOSS OF PROFITS OR REVENUE, PROMOTIONAL OR MANUFACTURING EXPENSES, OVERHEADS, BUSINESS INTERRUPTION COST, LOSS OF DATA, REMOVAL OR REINSTALLATION COSTS, INJURY TO REPUTATION OR LOSS OF BUYERS, PUNITIVE DAMAGES, IPR INFRINGEMENT, LOSS OF CONTRACTS OR ORDERS OR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE. BUYER’S RECOVERY FROM SECO FOR ANY CLAIM SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE AFFECTED PRODUCTS IRRESPECTIVE OF THE NATURE OF THE CLAIM WHETHER IN CONTRACT, TORT, WARRANTY, OR OTHERWISE. BUYER WILL INDEMNIFY, DEFEND AND HOLD SECO HARMLESS FROM ANY CLAIMS BASED ON (a) SECO’S COMPLIANCE WITH BUYER’S DESIGNS, SPECIFICATIONS, OR INSTRUCTIONS, (b) MODIFICATION OF ANY PRODUCTS BY ANYONE OTHER THAN SECO, or (c) USE IN COMBINATION WITH OTHER PRODUCTS.

Force Majeure

SECO is not liable for failure to fulfill its obligations for any accepted Order or for delays in delivery due to causes beyond SECO’s reasonable control including, but not limited to acts of God, natural or artificial disaster, riot, war, strike, delay by carrier, shortage of Product, acts or omissions of other parties, acts or omissions of civil or military authority, Government priorities, change in law, material shortages, fire, strikes, floods, epidemics, quarantine restrictions, acts of terrorism, delays in transportation or inability to obtain labor, materials or products through its regular sources, which shall be considered as an event of force majeure excusing SECO from performance and barring remedies for non-performance. In an event of force majeure condition, SECO’s time for performance shall be extended for a period equal to time lost as a consequence of the force majeure condition without subjecting SECO to any liability or penalty. SECO may, at its option, cancel the remaining performance, without any liability or penalty, by giving notice of such cancellation to the Buyer.

Technical Assistance or Advice

If technical assistance or advice are offered or given to Buyer, such assistance or advice is given free of charge and only as an accommodation to Buyer. SECO shall not be held liable for the content or Buyer’s use of such technical assistance or advice nor shall any statement made by any of SECO’s representatives in connection with the Products or Services constitute a representation of warranty, express or implied.

General

The laws of the State of Pennsylvania will exclusively govern any dispute between SECO and Buyer. Buyer may not assign this Agreement without the prior written consent of SECO. SECO or its affiliates may perform the obligations under this Agreement. This Agreement is binding on successor and assigns.

Products, including software or other intellectual property, are subject to any applicable rights of third parties, such as patents, copyrights and/or user licenses.
